Terms of Service

1. Acceptance of Terms

By accessing thereggiesmith.com, booking a consultation, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

These terms constitute the entire agreement between you and Promised Investment Group (Pty) Ltd ("we", "us", "our"), trading as Reggie Smith, and supersede all prior agreements or understandings.

2. Services

We provide the following services:

  • Website design and development (landing pages, business sites, portfolios)
  • eCommerce store development
  • Mobile application development (iOS and Android)
  • Business infrastructure and systems consulting
  • AI integration and chatbot setup
  • Strategy consultations (paid sessions)

All services are custom-built. We do not use pre-built templates sold to multiple clients. Each project is scoped individually.

3. Project Engagement

Engagements for development projects begin with a briefing process, accessible after payment of a deposit. The briefing establishes the scope, timeline, and final price for your project.

We reserve the right to decline any project request at our sole discretion, including but not limited to projects involving illegal activities, explicit content, deception, or harassment.

4. Strategy Consultation

Strategy consultations are priced at R200 for a one-hour session. This fee is payable in advance via our booking system.

  • The R200 consultation fee is credited toward your project if you proceed with a build
  • Consultations are conducted via Google Meet
  • If we determine after a consultation that your project falls outside our scope, we will advise you and the fee is non-refundable
  • Rescheduling is permitted with at least 24 hours' notice

5. Payment Terms

Payment schedules vary by project type and are agreed upon in writing before work begins. Standard payment structure for development projects:

  • Deposit: Required to initiate the briefing process and reserve build capacity
  • Milestone payments: May be required for larger projects at agreed deliverable stages
  • Final payment: Due before final delivery and handoff

Payments are processed through PayFast (ZAR) or PayPal (USD). We do not accept direct EFT without prior arrangement.

All prices are quoted in South African Rand (ZAR) unless otherwise stated. USD pricing is indicative and subject to exchange rate fluctuations.

6. Refund Policy

6.1 Strategy Consultation (R200)

The R200 strategy consultation fee is non-refundable once the consultation has been conducted. If you need to reschedule, notify us at least 24 hours in advance. Cancellations with less than 24 hours' notice forfeit the fee.

6.2 Project Deposits

  • Deposits are non-refundable once the briefing process has commenced
  • If we are unable to commence work within an agreed timeframe due to our fault, a full deposit refund will be issued
  • If a project is cancelled by the client before briefing commences, a refund less a 10% administration fee may be considered at our discretion
  • Deposits are forfeited if the project is cancelled due to prohibited content or abuse of our services

6.3 Completed Work

No refunds are issued for work already completed and delivered. This includes design concepts, strategy documents, code, or any other deliverables that have been provided to the client.

6.4 Disputes

If you are dissatisfied with delivered work, we will work with you in good faith to resolve issues within the agreed project scope. Revisions outside the original scope may be subject to additional charges.

6.5 Refund Process

Where a refund is approved, it will be processed within 10 business days to the original payment method. Refund requests must be submitted in writing to admin@thereggiesmith.com.

7. Intellectual Property

Upon receipt of full and final payment, ownership of the custom-developed website or application code transfers to the client, except for:

  • Third-party libraries, frameworks, and tools (which remain under their respective licences)
  • Any proprietary tools, systems, or methodologies developed by us
  • Design system components not custom-built exclusively for the client's project

We retain the right to display your project in our portfolio unless you request otherwise in writing.

8. Client Responsibilities

You are responsible for:

  • Providing accurate and complete project information during the briefing
  • Providing required content (copy, images, branding) within agreed timelines
  • Reviewing and approving deliverables within agreed timeframes
  • Ensuring you have rights to any content you provide to us
  • Maintaining and securing your website after handoff
  • Paying all invoices within agreed payment terms

Project delays caused by client inaction, late feedback, or missing content may result in timeline extensions or additional charges.

9. Prohibited Uses

You agree not to use our services for:

  • Any illegal activity under South African or international law
  • Sexually explicit or pornographic content
  • Hate speech, harassment, or discrimination
  • Fraudulent, deceptive, or misleading business practices
  • Scams, pyramid schemes, or get-rich-quick schemes
  • Malware, phishing, or cybercrime

10. Limitation of Liability

To the maximum extent permitted by South African law, our total liability to you for any claim arising from or related to our services shall not exceed the amount paid by you in the three months preceding the claim.

We are not liable for:

  • Indirect, incidental, or consequential losses
  • Loss of profits or business opportunity
  • Third-party service failures (hosting, payment processors, etc.)
  • Security breaches arising from third-party services
  • Website downtime after project handoff

11. Confidentiality

We treat all project information, business details, and client data as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law.

12. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the courts of South Africa.

13. Dispute Resolution

We encourage resolution of disputes through direct negotiation first. If a dispute cannot be resolved informally, the parties agree to attempt mediation in Cape Town before initiating formal legal proceedings.

14. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Continued use of our services after changes constitutes acceptance. We will notify existing clients of material changes by email.
